Prime Inks Agreement, Warranties and Policies:

Agreement:

Any agreement for the purchase of services from Prime Inks shall be governed by and is made subject to these Prime Inks business terms and the returns policies stated below (collectively, the “agreement”). This agreement constitutes the entire agreement between the parties relating to the products provided. Prices and availability of services are subject to change without notice.

Limited Warranty:

Products purchased by the customer through Prime Inks that were manufactured or produced by third parties (third party products) are provided on an “As Is” Basis and if the customer discovers within the applicable warranty period a failure of the third party products to substantially conform to the specifications or a defect in material or workmanship, solely to the third party that manufactured or produced the third party products for recovery on any claim of liability, whether express or implied, and will hold Prime Inks harmless therefrom. Prime Inks sole responsibility with respect to third party products shall be to pass through to the customer any manufacturer warranties of the third party products. Prime Inks makes no warranty, express or implied, except as to those warranties specifically set forth in the specifications of the Prime Inks product. If Prime Inks is unable to correct the failure to conform to any such warranty after a reasonable number of attempts, Prime Inks will provide at it’s option either: (a) A replacement, or (b) a refund of the purchase price. These remedies are the customer’s exclusive remedies for breach of warranty on Prime Inks.

Termination:

Prime Inks or their customer may terminate any order made pursuant to this agreement with or without cause upon five (5) business days with prior written notice to the other party. Termination shall not relieve the customer’s duty to pay for products actually shipped or expenses incurred by Prime Inks pursuant to this agreement.

Equipment Loss or Damage:

Prime Inks will not be held responsible for any loss or damage to any equipment through the use, misuse or abuse of any products that we have sold to our customer.

Customer’s Responsibility for Certain Shipping Charges:

If the customer refuses the shipment, Prime Inks may bill the customer, and the customer agrees to pay Prime Inks for all the resulting charges incurred by Prime Inks either directly or through it’s supplier.

Delivery:

All shipments will be delivered to the customer from the facilities of any of Prime Inks vendors who are shipping directly to the customer. regardless of the terms of shipment and who pays for the freight, the risk of loss shall pass to the customer when the shipments is delivered to the transportation carrier, and Prime Inks is not responsible for any loss or damages to the shipments during shipping. Prime Inks will use it’s best efforts to meet the delivery time stated but does not, under and circumstances, guarantee delivery at the stated time and is not responsible for any damages caused by the failure to meet the stated delivery time. Prime Inks strongly recommends that the customer obtain insurance for shipments, as neither Prime Inks nor it’s suppliers will insure such shipments.

Return Policy:

You may return products that are purchased directly from Prime Inks for a credit or refund of the purchase price paid, less shipping, handling and applicable restocking fees. Any return must be within the applicable return policy period of 30 days and other requirements below. If you fail to return a product within the return period, then the product is considered accepted and not returnable.

Manufacturer and Publisher Policies:

Most products sold by Prime Inks are subject to a manufacturers’ warranty.

Damaged Products:

Refuse all damaged products upon original delivery attempt. If damaged products are accepted from the carrier, then not the damage on the carrier delivery record. Save the product and the original box and packaging. Contact Prime Inks “order@primeinks.com” within five (5) days after receipt of the shipment to arrange for a carrier inspection and a pickup of the damaged products. Receipt of this information is necessary for Prime Inks to file a damage claim with the freight carrier.

Order Discrepancies:

Contact Prime Inks “order@primeinks.com” within five (5) days after receipt of the shipment for all order discrepancies i.e. shortages, mislabeled products or overages.

Defective/Dead On Arrival (DOA):

Report DOA’s to Prime Inks “order@primeinks.com” within five (5) days after receipt of the shipment. All DOA returns must be 100% complete, contain all original boxes and packing material, have original codes on the manufacturers packaging, contain all blank warranty cards, accessories and documentation provided by the manufacturer. Incomplete DOA returns will be subject to a minimum 50% restocking fee.

Accuracy of Data:

Prime Inks obtains certain data directly from the distributor of certain services. While Prime Inks makes every effort to ensure the accuracy of this data, this website could include typographical errors and/or technical inaccuracies. Prime Inks reserves the right to make improvements and/or changes to such data and/or this website at any time. Prime Inks makes no warranty of any kind with respect to the data on this website or the accuracy of advice given by Prime Inks employees, whether or not such advice is made in writing.

Terms:

The terms, conditions and prices contained in any quote from Prime Inks are subject to change until such time as the customer accepts the quote, furnishes payment or an obligation to pay that is satisfactory to Prime Inks credit department, and thereby converts or directs the conversion of the quote to an order. Prime Inks shall have no obligation to honor any quotes until they are so accepted and converted. Travel expenses, sales tax and freight and delivery are not included in this agreement and, where applicable to services and products purchased by the customer hereunder, will be the responsibility of the customer.

Governing Law and Venue:

This agreement will be governed by and construed in accordance with the substantive laws of the state of California without giving effect to any choice-of-law rules. Those who choose to access this site from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. Any action or proceeding of the agreement may be brought against any of the parties in a court of competent jurisdiction. Notwithstanding the foregoing, the customer hereby agrees that Prime Inks may bring any action, proceeding or suit resulting from the customer’s non-payment in the courts located in Sonoma County, California, and the customer hereby consents to such courts’ jurisdiction.
